Overview

Welcome to NYVOLT. “We,” “us” and “our” refer to NYVOLT. We operate this store and website, including all related information, content, features, tools, products and services, to offer a personalized shopping experience (the “Services”). Shopify provides the platform that enables us to offer the Services. These terms and the policies referenced in them (the “Terms”) describe your rights and responsibilities when using the Services. Read them carefully, including the warranty disclaimers and liability limitations. By visiting, interacting with or using the Services, you agree to these Terms and our Privacy Policy. If you disagree, do not access or use the Services.

1. Access and account

By accepting these Terms, you confirm that you have reached the legal age of majority in your state or province of residence and consent to your minor dependents using the Services on devices you own, purchase or manage. To access or browse our stores or buy products or services, you may need to provide information such as email, billing, payment and shipping details. You represent that this information is accurate, current and complete and that you have the necessary rights to provide it. You alone are responsible for account credential security and activity under your account. You may not transfer, sell, assign or license your account to another person.

2. Our products

We make every effort to present products and services accurately. Colors or appearance may differ on your screen due to your device, settings and configuration. We do not guarantee that appearance or quality will meet your expectations or be identical to the store’s presentation. Product descriptions may change without notice at our discretion. We may discontinue a product or limit quantities offered to a person, geographic region or jurisdiction on a case-by-case basis.

3. Orders

Placing an order is an offer to purchase. NYVOLT may accept or decline it for any reason at its discretion. An order is accepted only after written confirmation by NYVOLT, and payment must be received and processed before validation. Check your order carefully: cancellation requests may not be accepted after confirmation. If we decline, change or cancel an order, we will try to contact you using the email, billing address or phone number provided. Purchases are subject to our Refund Policy. You represent that purchases are for personal or household use, not commercial resale or export.

4. Prices and billing

Prices, discounts and promotions may change without notice. The price charged is the price in effect when you order, as shown in your confirmation email. Unless expressly stated otherwise, displayed prices exclude taxes, shipping, handling, customs duties and import fees. Online prices may differ from physical stores or third-party platforms. Promotions may have separate terms, which prevail over these Terms if they conflict.

You agree to provide current, complete and accurate purchase, payment and account information and promptly update it, including email, card numbers and expiration dates, so we can complete transactions and contact you. You represent that your card details are accurate and complete, you are authorized to use the card, the issuer will honor the charges, and you will pay the displayed prices, shipping and handling charges and all applicable taxes.

5. Shipping and delivery

We cannot be held responsible for shipping or delivery delays. Stated delivery times are estimates, not guarantees. We disclaim liability for delays caused by carriers, customs or events beyond our control. Ownership and risk of loss transfer to you when products are handed to the carrier.

6. Intellectual property

The Services, including trademarks, brands, text, displays, images, graphics, reviews, video and audio, and their design, selection and arrangement, are owned exclusively by NYVOLT, its affiliates or licensors and protected by US and foreign patent, copyright and intellectual property laws. You may use the Services only for personal, noncommercial purposes. Without prior written consent, you may not reproduce, distribute, modify, create derivative works from, publicly display or perform, republish, download, store or transmit material from the Services. Unless expressly stated, these Terms grant no license or other intellectual property rights in NYVOLT, Shopify or third-party patents, trademarks, copyrights or other property. Unauthorized use may violate federal or state intellectual property laws. NYVOLT reserves all rights not expressly granted.

NYVOLT names, logos, product and service names, designs and slogans are trademarks of NYVOLT, its affiliates or licensors and require prior written authorization for use. Shopify names, logos, product and service names, designs and slogans are Shopify trademarks. Other such names and marks on the Services belong to their respective owners.

7. Optional tools

The Services may offer third-party customer tools that we neither monitor nor control and to which we provide no input. Access is provided “as is” and “as available,” without warranties, representations, conditions or endorsement. We have no liability arising from or related to optional third-party tools. You use them at your own risk and discretion and must understand and accept the relevant provider’s terms. New features, tools or resources offered in the future will form part of the Services and be subject to these Terms.

8. Third-party links

The Services may contain third-party material and links, including embedded features. We do not examine or evaluate the content or accuracy of third-party materials or websites. You leave the Services and access them at your own risk. We disclaim liability for harm related to visiting those sites or buying or using their products, services, resources or content. Review and understand third-party policies and practices before transacting. Direct complaints, claims, concerns and questions about third-party products or services to the relevant third party.

9. Relationship with Shopify

NYVOLT is powered by Shopify, but all purchases and sales in our store are directly with NYVOLT. You acknowledge that Shopify is not responsible for any aspect of sales between you and NYVOLT, including harm, damage or loss arising from products or services purchased. You expressly release Shopify and its affiliates from claims, damages and liability arising from or related to your purchase and transaction with NYVOLT.

10. Privacy Policy

Information collected through the Services is subject to our Privacy Policy; some information may also be subject to Shopify’s Privacy Policy. You acknowledge having read them. Shopify hosts the Services and collects and processes information about access and use to provide and improve them. Information you submit is shared with Shopify and third parties that may be in other countries. Our Privacy Policy explains how we, Shopify and our partners use information.

11. Feedback

If you submit, upload, post, email or otherwise transmit ideas, suggestions, feedback, reviews, proposals, plans or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, nonexclusive license to use, reproduce, modify, publish, distribute and display it for any purpose, including commercial purposes. We may use it to operate, provide, assess, improve and promote the Services and fulfill obligations or exercise rights under these Terms.

You represent that you own or hold all necessary rights, disclose any compensation or incentive received, and that your Feedback complies with these Terms. We are not required to keep it confidential, compensate you or respond. We may, but are not required to, monitor, edit or remove Feedback we consider unlawful, offensive, threatening, defamatory, libelous, pornographic, obscene, otherwise objectionable, or infringing intellectual property rights or these Terms.

Feedback must not infringe third-party copyright, trademarks, privacy, personality, personal or property rights, contain defamatory, unlawful, abusive or obscene material, or contain viruses or malware affecting the Services or related websites. Do not use a false email, impersonate others or mislead us or others about its origin. You alone are responsible for your Feedback and its accuracy; we disclaim liability for Feedback posted by you or others.

12. Errors, inaccuracies and omissions

The Services may occasionally contain typographical errors, inaccuracies or omissions in descriptions, prices, promotions, offers, shipping fees, transit times or availability. We may correct errors, change or update information, or cancel orders involving inaccurate information at any time without notice, including after submission of an order.

13. Prohibited uses

Use the Services only for lawful purposes. Do not use them directly or indirectly for unlawful or malicious purposes; to violate international, federal, provincial, state or local laws or rules; infringe NYVOLT, Shopify or third-party intellectual property; harass, abuse, insult, harm, defame, disparage or intimidate employees or others; transmit false or misleading information; send, knowingly receive, upload, use or reuse noncompliant content; send advertising, spam, chain letters, junk mail or similar solicitations; impersonate a person or entity; or restrict others’ use or enjoyment, harm NYVOLT, Shopify or users, or expose them to liability.

Do not upload or transmit viruses or malicious code; reproduce, duplicate, copy, extract, sell, resell or exploit any part of the Services; collect or track others’ personal information; spam, phish, pharm or pretext; use robots, spiders, scraping or data extraction tools, automated devices, AI tools including agentic AI, or automated or manual means to access the Services; or interfere with, bypass or neutralize security, authorization, robot exclusion headers or access restrictions. We may suspend, disable or terminate your account without notice if we determine that you violated these Terms.

14. Agents

14.1 These Agent Terms apply when you use, authorize, enable or cause an Agent to access, use or interact with the Services. An Agent is software or a service acting autonomously or semi-autonomously for, or on the instructions of, a person or entity, potentially on a device owned or used by a person without direct supervision.

14.2 No Agent may access, use or interact with the Services unless it continuously identifies itself and strictly complies with section 14.4. An Agent must not access, use or interact with any service if we have asked it not to. 14.3 We may limit, including technically, whether and how an Agent accesses, uses or interacts with the Services.

14.4 Agents must identify every HTTP/HTTPS request as originating from an Agent and disclose its name in the user-agent string as “Agent/[agent name]”; must not conceal their activity by imitating human behavior or interaction patterns, bypassing or completing CAPTCHAs or other human/computer distinction measures; must answer human-or-computer questions truthfully; and must not circumvent measures that block, limit, modify or control Agent access, use or interactions.

15. Termination

We may terminate this agreement or access to all or part of the Services at our discretion, at any time without notice. You remain liable for amounts due through termination. The sections on Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law and Privacy Policy, and provisions that by their nature survive, remain effective after termination.

16. Disclaimer of warranties

Information on or through the Services is provided for general information only. We do not warrant accuracy, completeness or usefulness. Reliance is at your own risk, and we disclaim liability for reliance by you, other visitors or anyone informed of the content.

EXCEPT AS EXPRESSLY STATED BY NYVOLT, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR CONDITIONS, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NONINFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE USE. SOME JURISDICTIONS LIMIT OR PROHIBIT WARRANTY EXCLUSIONS, SO THESE EXCLUSIONS MAY NOT APPLY TO YOU.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYVOLT, OUR PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSEES, AND SHOPIFY AND ITS AFFILIATES’ EQUIVALENTS, WILL NOT BE LIABLE FOR INJURY, LOSS, CLAIMS OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, REVENUE, SAVINGS, DATA, REPLACEMENT COSTS OR SIMILAR DAMAGE, WHETHER BASED IN CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY OR OTHERWISE. THIS INCLUDES DAMAGE ARISING FROM USE OF THE SERVICES OR PRODUCTS, RELATED CLAIMS, CONTENT ERRORS OR OMISSIONS, OR LOSS FROM CONTENT OR PRODUCTS POSTED, TRANSMITTED OR OTHERWISE MADE AVAILABLE, EVEN IF ADVISED OF THE POSSIBILITY.

18. Indemnification

You agree to indemnify, defend and hold harmless NYVOLT, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers against third-party losses, damages, liabilities or claims, including reasonable attorneys’ fees, arising from your breach of these Terms or incorporated documents, violation of law or third-party rights, or access to and use of the Services. We will notify you of covered claims; late notice does not release you unless materially prejudiced. We may control defense and settlement at your expense, including selecting counsel, but will not settle a claim imposing nonmonetary obligations on you without your consent, which must not be unreasonably withheld. You will cooperate, including by providing relevant documents.

19. Severability

If a provision is unlawful, void or unenforceable, it remains enforceable to the maximum extent permitted by law, and the unenforceable portion is severed without affecting the validity or enforceability of the remaining provisions.

20. Waiver; entire agreement

Failure to exercise or enforce a right or provision is not a waiver. These Terms and the policies or operating rules we publish on this website or concerning the Services form the entire agreement and govern use of the Services, replacing prior or contemporaneous oral or written agreements, communications and proposals, including previous versions. Ambiguities are not construed against the drafting party.

21. Assignment

You may not delegate, transfer or assign this agreement or rights or obligations without prior written consent; unauthorized attempts are void. We may transfer, assign or delegate these Terms and our rights and obligations without your consent or prior notice.

22. Governing law

These Terms and separate agreements under which we provide Services are governed and interpreted according to the federal and state or territorial laws of the courts competent in the jurisdiction where NYVOLT has its registered office. You and NYVOLT expressly consent to those courts’ territorial and personal jurisdiction.

23. Headings

Headings are included for convenience and do not affect or limit interpretation of these Terms.

24. Changes to the Terms

The latest version is available on this page. We may update, change or replace any part at our discretion by posting changes on the website. You should check periodically. We will notify you of material changes as required by law; they take effect on the date stated in the notice. Continued access or use after changes are posted constitutes acceptance.
